3. Payment Terms:
A non-refundable advance of 50% of the total project cost is required to initiate work. This ensures that the project is officially booked and allows our team to allocate resources and begin preparation. The advance covers initial research, design, and development phases. Please note, the advance is non-refundable should the project be canceled for any reason by the client.
Full payment is due upon project completion and before the final delivery of files or deployment unless otherwise specified. This payment will be due once the project is completed to the agreed-upon standards. Prior to final delivery, clients will have the opportunity for one round of revisions to ensure the product meets all outlined requirements. After final approval, the project will be delivered and deployment will begin.
Any additional features or changes outside the agreed scope will be billed separately. These may include additional pages, complex functionalities, or any extra requirements not mentioned in the original agreement. Clients will be informed of any potential additional charges before work on the new feature begins, and an updated estimate will be provided for approval.
We accept payments via bank transfer, credit card, or other agreed-upon methods. Please ensure that payments are made on time to avoid any delays in the project timeline. Our team will provide the necessary details for making payments, and clients are encouraged to confirm the receipt of payments with us.
If payment is not received within the specified timeframe, a late fee may be applied. The late fee will be calculated as a percentage of the outstanding balance and will be added to the total amount due. This fee is intended to cover the additional costs incurred due to the delay in payment and will be added to any future invoices.
4. Client Responsibilities:
Clients are responsible for supplying all the necessary materials required for the successful execution of the project. This includes content, images, videos, branding assets, and any other resources needed. Timely submission of these materials is crucial to ensure that the project remains on schedule and meets the agreed-upon deadlines. Delays in providing materials may result in project delays.
Clients must ensure that all the content they provide for the project, including images, videos, and written content, is either owned by them or they have the proper licenses to use it. Any content that infringes on copyright laws or violates third-party rights will be the client's responsibility. This includes ensuring that any logos, artwork, and media used do not violate intellectual property rights.
It is the client’s responsibility to maintain clear and open communication throughout the project. Regular feedback on deliverables, designs, or concepts is essential to ensure that the project is progressing according to the client's expectations. Delays in providing feedback may lead to a slowdown in the development process, and failure to communicate effectively could impact the overall quality of the final product.
Clients are required to provide any necessary technical access or credentials for third-party platforms, software, or tools that may be required for the development or deployment of the project. This could include access to web hosting services, content management systems, social media accounts, or any other platforms relevant to the project's success. Failure to provide these resources could lead to delays in the project.
Clients are expected to ensure that any changes to the project scope are communicated clearly and documented properly. Any changes requested outside the agreed scope may require additional time and resources, which could incur additional charges. It is essential that both parties agree to any scope modifications to avoid misunderstandings and ensure smooth project delivery.
5. Revisions and Changes
Clients are entitled to a certain number of revisions within the scope of the original project agreement. These revisions must be requested within a reasonable time frame after the initial delivery. Any revision requests beyond the agreed scope or after project completion may incur additional charges. Clients are encouraged to provide detailed feedback to minimize the need for extensive revisions.
If the client requests any changes that are outside the scope of the original agreement, these will be treated as change orders. The client will be informed of the additional costs, timelines, and resources required for such changes. Both parties must agree to these changes in writing before they are implemented to ensure transparency and avoid project delays.
Changes or revisions that deviate from the original project scope may cause delays. We will make reasonable efforts to accommodate such requests, but clients must understand that extensive changes could extend the project timeline. It is important to clearly define the scope of the project upfront to minimize the need for changes during the development phase.
Devzel retains ownership of all intellectual property rights related to the services provided, including but not limited to the website, software, code, designs, and content developed for the client. Upon full payment for any custom work or services provided by Devzel, the client will be granted ownership of the deliverables created specifically for their project, such as designs, content, and code, subject to the terms of the agreement.
Devzel retains the right to use non-confidential, publicly available elements of the project for marketing, portfolio, or promotional purposes, unless otherwise agreed in writing.
Clients are prohibited from using any intellectual property owned by Devzel without prior written consent. Any unauthorized use, reproduction, or distribution of Devzel’s intellectual property will be subject to legal action.
By using Devzel’s services, clients acknowledge and agree to the intellectual property terms outlined in the agreement and this section.
7. Confidentiality:
Devzel retains all rights, title, and interest in and to the platform, including but not limited to patents, copyrights, trademarks, trade secrets, and any other intellectual property rights.
Clients may not modify, reproduce, distribute, create derivative works, publicly display, or use any content from the platform without Devzel's prior written consent.
8. Limitation of Liability:
Devzel shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the use of the services provided, including but not limited to any loss of data, revenue, or profits, even if Devzel has been advised of the possibility of such damages.
Devzel disclaims all liability for any errors, omissions, or inaccuracies in the content provided on the platform. Devzel does not guarantee or assure the accuracy, completeness, or fitness for a particular purpose of any content, service, or information available.
9. SEO Guarantee Disclaimer:
Devzel makes reasonable efforts to optimize the Platform's visibility on search engines through SEO best practices. However, SEO results can vary depending on factors outside of our control, such as search engine algorithm changes and competition. While we cannot guarantee specific rankings, we ensure that the latest SEO strategies are applied to help improve visibility.
Devzel does not guarantee any specific ranking on search engine result pages. SEO is a long-term strategy that depends on various elements including site content, backlinks, and competition. We provide transparent reports on progress, but exact results cannot be assured.
As search engines continuously update their algorithms, results from SEO efforts can fluctuate. Devzel will monitor and adapt to these changes, but we cannot guarantee that rankings or results will remain consistent. Clients are advised to expect variations as search engines evolve.
10. Ongoing Maintenance Fees:
Devzel offers several ongoing maintenance plans to support your platform's continued performance. These plans include software updates, security patches, and general technical support. We provide a basic plan for minimal upkeep, as well as premium plans for enhanced support and more frequent updates.
Maintenance fees are billed either on a monthly, quarterly, or annual basis, depending on the agreed-upon plan. The payment for the chosen maintenance plan is due before the start of each billing period. Clients can adjust their plan based on their evolving needs, and any changes in the plan will be reflected in the next billing cycle.
11. Termination of Services:
Users have the right to terminate their use of the Platform at any time by ceasing to access or use the Platform and deleting any associated accounts or profiles. Any outstanding fees or charges up to the point of termination must be paid in full. Termination does not relieve the User of their obligations under the Terms and Conditions.
Devzel reserves the right to terminate or suspend access to the Platform at its discretion in cases of user misconduct, non-payment, or violations of the terms and conditions. In the event of termination, the User will be notified, and access to the services will be promptly discontinued.
12. Warranties and Support:
Devzel strives to provide accurate and reliable services. However, as with any digital platform, we cannot guarantee that the services will be error-free or uninterrupted. The services are provided "as is," without warranties of any kind, either express or implied, including but not limited to warranties of fitness for a particular purpose or non-infringement.
Devzel offers technical support for the services provided. Support is available during regular business hours, and includes troubleshooting, bug fixes, and assistance with platform features. Support for issues outside the scope of regular maintenance or development is subject to additional charges.
13. Force Majeure:
Devzel will not be held responsible for any failure or delay in performance due to unforeseen events beyond our control, including but not limited to natural disasters, acts of war, strikes, pandemics, or technical failures. In such cases, Devzel will make reasonable efforts to continue providing services once the circumstances allow.
In the event of force majeure, Devzel is not liable for any loss, damage, or cost incurred due to the delay or failure to perform. Clients are advised to maintain flexibility in project timelines in case of such events.
14. Dispute Resolution:
Any disputes arising from or related to these Terms and Conditions will first be addressed through mediation. If mediation is unsuccessful, the dispute will be resolved through binding arbitration under the rules of the relevant jurisdiction. The decision of the arbitrator will be final and enforceable in a court of law.
The laws of the jurisdiction specified in the agreement will govern these Terms and Conditions. Any legal action related to these terms must be filed in the courts of the designated jurisdiction.
15. Amendments to Terms:
Devzel reserves the right to amend, modify, or update these Terms and Conditions at any time. Users will be notified of any changes, and the new terms will be effective immediately upon posting. Continued use of the Platform after changes are made constitutes acceptance of the updated Terms.
Users are responsible for reviewing these Terms periodically to ensure they are aware of any modifications. If a user disagrees with the updated Terms, they should cease using the services and may request termination of their account.
