1. Agreement to Terms

By accessing our website (devzel.com), subscribing to any of our plans, or purchasing design, development, or AI automation services from Devzel Private Limited ("Devzel", "we", "us"), you ("Client", "you") agree to be bound by these Terms of Service.

2. Services & Engagements

Devzel provides digital product design, web development, branding, headless CMS builds, and custom AI workflow automations. Engagements operate primarily via flat monthly subscription plans or defined-scope sprint engagements as detailed on our Pricing page.

3. 100% Intellectual Property & Ownership

You own everything we create for you. Upon full payment of the applicable service fees, all source code, Figma design files, brand assets, databases, and custom deliverables created by Devzel during the engagement become your exclusive intellectual property.

Devzel retains no ownership rights, proprietary licenses, or vendor lock-in dependencies on your custom project files.

4. Billing, Pausing & Cancellations

• Subscription Billing: Monthly plans are billed in advance on a recurring 31-day cycle.
• Flexible Pausing: You may pause your subscription at any point. Unused days in the current 31-day cycle are banked to your account and remain available whenever you reactivate.
• Cancellation: You may cancel your subscription at any time prior to your next renewal date with zero penalty fees.
• Money-Back Guarantee: If within the first 14 days of an initial engagement you are unsatisfied and no major completed request has been finalized, we will provide a full refund of your first month's payment.

5. Client Responsibilities & Materials

To ensure timely delivery, the Client agrees to provide prompt feedback, necessary access credentials (e.g., repository, hosting, CMS), and brand assets. The Client warrants that all materials provided to Devzel do not infringe upon any third-party intellectual property or copyright.

6. Confidentiality & Non-Disclosure

Both parties agree to protect all proprietary and confidential information disclosed during the engagement with the highest standard of care. Devzel will not disclose your business strategies, unreleased products, or internal data to any third party.

7. Limitation of Liability

In no event shall Devzel be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use our services. Our total liability for any claim arising out of an engagement is limited to the total fees paid by the Client to Devzel in the preceding two-month period.

8. Governing Law & Contact

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Hyderabad, Telangana, India.
